By registering with schembrionics.com, you become a Member, and you agree to be bound by the terms and conditions of this Agreement for as long as you continue to be a Member. If you do not agree to the terms, please do not register with schembrionics.com.
By completing the registration process, reading the Website Disclaimer and using the Site, you represent and warrant that you have the right, authority and capacity to enter into this Agreement and to abide by all the terms and conditions in the Agreement.
When you subscribe to the SCHEMBRIONICS Membership, you will be able to download and upload files.
All files must be uploaded to the "Up Loads" category section. To help with faster uploads and downloads, all large files should be zipped.
You should download this document so that you can become familiar with the file transfer requirements.
Users who do not follow these procedures will be banned from uploading any files and/or may lose their membership status.
Definitions:
"Publisher" refers to SCHEMBRIONICS "Author" refers to the person uploading files to SCHEMBRIONICS "Work" refers to the manuscript uploaded by the author to be published as a printed document.
The author hereby declares to the publisher that:
1) The work does not infringe upon any existing copyright or law. 2) The work is free of any counts of plagiarism, libel, breach of privacy or misrepresentation of factual events. 3) The author is the copyright holder of the work and is in authority to upload the work. 4) The Author assume full responsibility and risk of loss resulting from the downloading and/or use of files or other material (including software) obtained through SCHEMBRIONICS (See also the “Website Disclaimer” for SCHEMBRIONICS). 5) The author releases the publisher from any responsibilities relating to any legal actions incurred by the content of the work or the actions/ communications by the author. 6) The Author hereby acknowledges, understands and agrees that all information disclosed to SCHEMBRIONICS has been disclosed freely and knowingly, and that any and all information posted in or on the schembrionics.com Site or will be used in furtherance of the services schembrionics.com offers. 7) By submitting any type of communications to SCHEMBRIONICS , no fiduciary, confidential, contractually implied or other relationship is created between the author and schembrionics.com or any of its subsidiaries or affiliates. 8) As a Member who upload files, messages, enters data or engages in any other form of communication, individually or collectively, within the Site, grants to schembrionics.com a perpetual, world wide, irrevocable, unrestricted, non-restricted, non-exclusive, royalty-free license to use, including but not limited to promotional and advertising purposes, copy, license, sublicense, adapt, distribute, display, publicly perform, reproduce, transmit, modify, edit and otherwise exploit such communications and any ideas or original materials contained in such communications, in all media now known or hereafter developed. This grant shall include the right to exploit any and all proprietary rights in such communications including, without limitations, any and all rights under copyright, trademark, service mark or patent laws under any relevant jurisdiction. 9) The Author agrees not to transmit any unlawful, harassing, libelous, privacy invading, sexually and/or racially offensive, abusive, threatening, harmful, vulgar, obscene or otherwise objectionable material of any kind. 10) Any breach of this statement may result in the work being withdrawn from SCHEMBRIONICS either temporarily, until the breach is resolved, or permanently at the discretion of the publisher.
Grantor of Rights:
1) The author grants the publisher exclusive rights to publish and produce the work in printed form and in digital form for distribution. The author retains the right to distribute the work as published and produced by the publisher. 2) The publisher has final approval on layout and design so as to best meet quality standards.
SCHEMBRIONICS has and reserves the right to remove anything that it deems, in its sole and absolute discretion and in compliance with relevant laws, does not comply with the terms of use, or is offensive, vulgar, racist, harmful, or otherwise unfit.
Without limiting any of its other rights or remedies contained herein or at law, SCHEMBRIONICS may terminate your account (and, thereby, your access to schembrionics.com) for breaching or otherwise violating any provision of this Agreement.
SCHEMBRIONICS assumes no responsibility for any interruption, technical malfunctions, error, defect, deletion, omission, communications line failure, delay in operation or transmission, unauthorized access to, theft or destruction, or alteration of, members and/or users and/or standard member communications. This includes personal injury or damage to users, members, standard member, or anyone else or to any person's computer related to or resulting from participating or downloading materials in connection with schembrionics.com and each of its stand-alone services, its parents, subsidiaries, affiliates, officers and employees.
The terms of this agreement are subject to change by SCHEMBRIONICS at any time, effective upon notice to you by the posting on the schembrionics.com Site, and your use of the Service after such posting will constitute acceptance by you of such changes.
Author acknowledges that it has reviewed the File Transfer Agreement governing this site, and that continued use constitutes acceptance of the terms and conditions stated therein.
